These Terms & Conditions and Disclosures (“Terms”) govern your access to and use of SpiersAI.com and the products, services, software, reports, artificial intelligence tools, and other offerings provided by Spiers AI LLC (“Spiers AI,” “we,” “us,” or “our”).
By accessing this website or using our products or services, you agree to these Terms. If you do not agree, please do not use the website or applicable services.
1. About Spiers AI
Spiers AI develops and provides artificial intelligence-enabled products, software solutions, consulting services, analytical tools, and related services designed to help individuals and organizations understand complex information and make better-informed decisions.
Our offerings may include Policy TuneUp, PTU Clarity, the Virtual Nexus Council, PRIMUS, consulting services, and other current or future Spiers AI products and services.
Features, functionality, availability, pricing, and service offerings may change over time.
2. Artificial Intelligence Disclosure
Certain Spiers AI products and services use artificial intelligence, automated workflows, large language models, software agents, third-party technology, and other automated analytical tools.
AI-generated or AI-assisted information may contain errors, omissions, inaccuracies, or incomplete interpretations. Outputs should therefore be considered informational and analytical tools rather than guaranteed statements of fact.
Users remain responsible for evaluating information provided by Spiers AI and for determining whether professional advice or independent verification is appropriate before making material decisions.
Spiers AI does not represent or warrant that AI-generated information will be complete, error-free, or appropriate for every circumstance.
3. Policy TuneUp and PTU Clarity Disclosure
Policy TuneUp and PTU Clarity are informational document-analysis services designed to help users better understand complex documents and information.
When analyzing insurance-related documents, Policy TuneUp and PTU Clarity may identify policy provisions, limits, deductibles, exclusions, endorsements, information not located in the submitted documents, and items that may require confirmation with a licensed insurance professional.
Spiers AI is not an insurance company, insurance agency, insurance broker, insurance producer, or insurance carrier. Spiers AI does not sell insurance, bind coverage, recommend specific insurance products, or make coverage decisions.
Policy TuneUp and PTU Clarity reports do not constitute insurance, legal, financial, or other professional advice.
Any description or analysis of insurance coverage is informational only. The actual insurance policy, including its declarations, forms, endorsements, exclusions, terms, conditions, and applicable law, controls the existence and extent of coverage.
Users should consult their insurance carrier, licensed insurance professional, attorney, or other qualified professional regarding specific questions or decisions.
Spiers AI does not guarantee that Policy TuneUp or PTU Clarity will identify every policy provision, exclusion, limitation, discrepancy, or other relevant item and is not responsible for coverage determinations, underwriting decisions, claim decisions, claim outcomes, or interpretations made by an insurer or other third party.
4. Virtual Nexus Council and PRIMUS Disclosure
The Virtual Nexus Council (VNC) is an AI-enabled platform designed to bring together information, perspectives, specialized AI capabilities, and human expertise to support analysis, discussion, strategy, and decision-making.
PRIMUS is Spiers AI's AI orchestration and intelligence capability and may coordinate specialized AI agents, information sources, analytical processes, and other technologies.
Information, recommendations, scenarios, strategies, or other outputs generated through PRIMUS or the Virtual Nexus Council are intended to assist human decision-making. They do not replace the judgment of company leadership, management, legal counsel, financial professionals, or other qualified experts.
Users and clients remain responsible for decisions made based on information generated or discussed through these services.
5. Consulting Services
Spiers AI may provide consulting, advisory, analytical, implementation, strategy, automation, AI, and technology-related services.
Specific consulting engagements may be governed by separate proposals, statements of work, engagement letters, contracts, or other written agreements.
If the terms of a separately executed agreement conflict with these website Terms regarding a paid engagement, the applicable executed agreement will control for that engagement.
6. No Professional Advice
Unless expressly stated in a separate written agreement, information provided through Spiers AI products, reports, software, AI systems, website content, or services is not intended to constitute:
Legal advice
Insurance advice
Financial or investment advice
Tax advice
Accounting advice
Medical advice
Other regulated professional advice
Users should obtain appropriate professional advice when circumstances require it.
7. User Responsibilities
Users are responsible for providing accurate information and ensuring they have the legal right and authority to upload, submit, or provide documents and data to Spiers AI.
Users should review outputs for accuracy and relevance before relying upon them for significant decisions.
Users may not use Spiers AI products or services for unlawful purposes, interfere with their operation, attempt unauthorized access, reverse engineer protected technology except where permitted by law, or use the services in a manner that violates the rights of Spiers AI or third parties.
8. Uploaded Documents and Information
Some Spiers AI services allow users to submit documents or other information for analysis.
Users should submit only information necessary for the requested service and should avoid including unnecessary sensitive personal information. Where appropriate, users may redact sensitive information before uploading documents.
Handling of personal information and uploaded materials is further governed by the Spiers AI Privacy Policy.
Users retain their rights in documents and information they submit, subject to the limited rights necessary for Spiers AI and its authorized service providers to process that information and provide the requested service.
9. Third-Party Technology and Services
Spiers AI may rely upon or integrate technology, software, cloud infrastructure, artificial intelligence models, APIs, data services, and other services provided by third parties.
Third-party services may experience outages, errors, delays, changes, or interruptions outside Spiers AI's control.
References or links to third-party websites, services, or products do not necessarily constitute endorsement by Spiers AI.
10. Intellectual Property
Unless otherwise stated, the Spiers AI website, branding, software, workflows, reports, methodologies, designs, graphics, content, AI systems, product names, and related materials are owned by or licensed to Spiers AI and are protected by applicable intellectual-property laws.
This includes, where applicable, Spiers AI, Policy TuneUp, PTU Clarity, Virtual Nexus Council, PRIMUS, and associated designs, systems, methodologies, and content.
Use of our website or services does not transfer ownership of Spiers AI intellectual property to the user.
11. Service Availability
We may modify, improve, suspend, replace, or discontinue website functionality or products and services at any time.
We do not guarantee uninterrupted availability of the website, AI systems, software, reports, integrations, or third-party services.
12. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the website, products, AI-generated outputs, reports, and services are provided on an “as is” and “as available” basis.
Spiers AI makes no guarantee that information or outputs will be completely accurate, comprehensive, current, error-free, or suitable for a particular purpose.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
13. Limitation of Liability
To the fullest extent permitted by applicable law, Spiers AI LLC and its owners, officers, employees, contractors, advisory board members, advisors, affiliates, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to the use of the website, products, services, reports, or AI-generated information.
Spiers AI is not responsible for decisions made by users, insurers, businesses, professionals, or other third parties based on information produced through our services.
To the fullest extent permitted by applicable law, the total aggregate liability of Spiers AI arising from or relating to the website, a product, a report, or a service will not exceed the greater of the amount paid by the user for the applicable product or service during the twelve months preceding the event giving rise to the claim or $100. This limitation does not apply to liability that cannot legally be limited or excluded.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
14. Changes to These Terms
Spiers AI may update these Terms as our products, technology, business, or legal requirements evolve.
When material changes are made, the revised Terms will be posted on SpiersAI.com with an updated effective date.
Continued use of the website or applicable services following an update constitutes acceptance of the revised Terms to the extent permitted by law.
15. Governing Law
These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-law principles.
Any legal action arising from or relating to these Terms must be brought in a state or federal court of competent jurisdiction located in South Carolina, and each party consents to the personal jurisdiction and venue of those courts, except where applicable consumer law requires otherwise.
PTU Payment, Delivery, and Refund Terms
PTU Clarity is offered for a one-time charge of $19.99. By submitting payment, you authorize Spiers AI and its payment processor to charge the payment method provided.
Most reports are delivered by email within 24–48 hours after we receive payment and a usable PDF document. This timeframe is an estimate and is not guaranteed.
A usable document must open correctly and be sufficiently complete and readable for processing. If we cannot process the submitted document, we may request a clearer or more complete copy.
If we cannot generate a report after receiving a reasonably requested replacement document, we will refund the full purchase price to the original payment method. We will initiate the refund within five business days, although your financial institution may require additional processing time.
PTU Clarity does not guarantee that a report will identify any particular provision, issue, exclusion, limitation, discrepancy, or area requiring review.
General Terms
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect. A failure by Spiers AI to enforce any provision does not waive its right to enforce that provision later.
Users may not assign or transfer their rights or obligations under these Terms without the prior written consent of Spiers AI. Spiers AI may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or transfer of its business.
These Terms, together with the Privacy Policy and any applicable order form, proposal, statement of work, or other written agreement, constitute the entire agreement between the user and Spiers AI concerning the applicable website, product, or service. If a separately executed agreement conflicts with these Terms, the separately executed agreement controls for that engagement.
